TERMS AND CONDITIONS OF SERVICE

PREAMBLE

This Terms of Service Agreement (the “Agreement“) is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time. This electronic record is generated by a computer system and does not require any physical or digital signatures.

These Terms are published in accordance with the provisions of Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 framed under the Information Technology Act, 2000 (as amended from time to time), that require publishing the rules and regulations, privacy policy, and terms of use for access or usage of the Platform.

The Platform is owned and operated by Fintaxpro Advisory LLP, a limited liability partnership incorporated under the Limited Liability Partnership Act, 2008, bearing LLPIN AAU-2599, having its registered office at PLOT No 92A, KH NO 417, 1st Floor, Kirari Suleman Nagar, Street No 2, North West Delhi 110086 and its corporate office at G12,Second Floor, Outer Ring Rd, opposite Radisson Hotel, above Red Chilli Restaurant, Block G, Pushkar Enclave, Paschim Vihar, New Delhi, Delhi, 110063 (hereinafter referred to as the “Company“).

By registering on or using the Website or mobile application (collectively, the “Platform“) or availing the Services, you agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you are agreeing to these Terms on behalf of that organization (in which event, “you”, “your” or “User” will refer to that organization).

You represent that you are at least 18 (eighteen) years of age and have not been previously suspended or removed by the Company, or disqualified for any other reason, from availing the Services or using the Platform. In addition, you represent and warrant that you have the right, authority, and capacity to agree to these Terms and to abide by them.

1. DEFINITIONS AND INTERPRETATIONS

In this Agreement, unless the context otherwise requires, the following terms shall have the respective meanings:

  1. “Company” refers to Fintaxpro Advisory LLP.
  2. “Platform” refers to the website, mobile applications, and other digital interfaces owned and operated by the Company.
  3. “Services” refers to the online educational courses, consultancy services, newsletters,DSC and other related offerings provided by the Company.
  4. “User” or “You” refers to any person who accesses or uses the Platform.
  5. “Courses” refers to the educational content, videos, materials,notes,excel and tutorials offered on the Platform.
  6. “Content” refers to all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, and artwork made available on the Platform.

2. SCOPE OF SERVICES

2.1 The Platform offers online educational courses, consultancy services, and newsletters primarily related to taxation, finance, and compliance.

2.2 By placing an order for Courses, Services, or Newsletters through the Platform, you agree to the terms set forth in this Agreement. The Company reserves the right to modify, suspend, or discontinue any aspect of the services at any time.

3. USER COMMUNICATIONS AND MARKETING

3.1 Customer Solicitation: Unless you notify our third-party call center representatives or direct Company sales representatives, while they are calling you, of your desire to opt out from further direct company communications and solicitations, you are agreeing to continue to receive further emails and call solicitations from Fintaxpro Advisory LLP and its designated in-house or third-party call team(s).

3.2 Opt-Out Procedure: We provide easy ways to opt out from future solicitations. You may notify us of your desire to opt out by sending an email to info@fintaxpro.in.

3.3 Marketing Communications: By using the Platform, you acknowledge that the Company may use your personal information for marketing purposes in accordance with our Privacy Policy.

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Proprietary Rights: Fintaxpro Advisory LLP has proprietary rights and trade secrets in the Courses, Newsletters, and Content. You acknowledge that the Company retains all rights, title, and interest in and to the Platform and its Content.

4.2 Prohibited Acts: You may not copy, reproduce, resell, redistribute, or create derivative works of any Courses, Newsletters, or Content provided by Fintaxpro Advisory LLP without express written permission.

4.3 Trademarks: Fintaxpro Advisory LLP owns rights to all trademarks, trade dress, and specific layouts of this webpage, including calls to action, text placement, images, and other information.

4.4 Trademark Notice: “FinTaxPro” is a registered trademark of Fintaxpro Advisory LLP. Students, subscribers, and third parties have no right to use the name “FinTaxPro” without prior written permission.

5. TAXATION AND BILLING

5.1 GST Applicability: All sales generated through the Platform are subject to Goods and Services Tax (GST) as per the Central Goods and Services Tax Act, 2017 (CGST Act) and Delhi Goods and Services Tax Act, 2017 (DGST Act), or other applicable state laws.

5.2 Dafault Supply: All supplies made through the website shall be treated as Business to Consumer (B2C) supply by default, and all prices shown on the website are inclusive of GST.

5.3 Business Customers (B2B): Any business entity purchasing our course that requires a GST invoice must provide their GST details to our official mail info@fintaxpro.in within 2 days of purchase. Failure to do so will result in the sale being treated as a B2C supply only.

5.4 Authorized Billing Partner: KITC – Krishna Investment & Tax Consultants is an authorized partner of FinTaxPro to sell courses and is duly authorized to collect payments and issue invoices on behalf of the Company. All these terms are applied on KITC – Krishna Investment & Tax Consultants mutatis mutandis.

5.5 Tax Invoice – GST compliant tax invoice shall be provided on email id provided by the user at the time of registration

6. COURSE-SPECIFIC TERMS

6.1 Lifetime Validity: Courses labeled with “Lifetime Validity” imply validity for the duration of the life of the student or the teacher, whichever is earlier.

6.2 Lifetime Updates: “Lifetime Updates” implies updates provided until the life of the student or the teacher, whichever is earlier.

6.3 All in One/Mega Combo Course/Ultra Combo Course: Students purchasing the “Mega Combo Course” will get access to all courses available on the website AT THE TIME OF PURCHASE. Any new course launched after the date of purchase shall not be part of the old course.
Example: If Mr. Amar buys the Mega Combo Course on 1st July 2026, he is eligible for all courses available on the website on 1st July 2026. However, any course launched after 1st July 2026 is not covered in the Mega Combo Course, and Mr. Amar has the option to buy such courses separately if interested.

7. WEBSITE USAGE AND CONTENT

7.1 Content Ownership: In addition to making Courses and Newsletters available, this Website offers information and marketing materials. To the extent that Fintaxpro Advisory LLP creates the content on this Website, such content is protected by intellectual property laws of India, foreign nations, and international bodies. Unauthorized use of the material may violate copyright, trademark, and/or other laws.

7.2 Third-Party Links: Any links to third-party websites are provided solely as a convenience to you. Fintaxpro Advisory LLP does not endorse the contents on any such third-party websites and is not responsible for the content of or any damage that may result from your access to or reliance on these third-party websites.

7.3 Use of Website: You will not use the Website for illegal purposes. You will (1) abide by all applicable local, state, national, and international laws and regulations in your use of the Website (including laws regarding intellectual property), (2) not interfere with or disrupt the use and enjoyment of the Website by other users, (3) not resell material on the Website, (4) not engage, directly or indirectly, in transmission of “spam”, chain letters, junk mail or any other type of unsolicited communication, and (5) not defame, harass, abuse, or disrupt other users of the Website.

7.4 License: By using this Website, you are granted a limited, non-exclusive, non-transferable right to use the content and materials on the Website in connection with your normal, non-commercial use of the Website.

7.5 Posting: By posting, storing, or transmitting any content on the Website, you hereby grant Fintaxpro Advisory LLP a perpetual, worldwide, non-exclusive, royalty-free, assignable, right and license to use, copy, display, perform, create derivative works from, distribute, have distributed, transmit and assign such content in any form, in all media now known or hereinafter created, anywhere in the world.

8. DISCLAIMER OF WARRANTIES

8.1 Your use of this website and/or courses, newsletters are at your sole risk. The website and courses, newsletters are offered on an “as is” and “as available” basis.

8.2 FinTaxPro Advisory LLP expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement with respect to the courses, newsletters or website content.

8.3 Without limiting the generality of the foregoing, FinTaxPro Advisory LLP makes no warranty that the information provided on this website is accurate, reliable, complete, or timely, or that the links to third-party websites are to information that is accurate, reliable, complete, or timely.

8.4 No advice or information, whether oral or written, obtained by you from this website will create any warranty not expressly stated herein.

8.5 Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

9. LIMITATION OF LIABILITY

9.1 Fintaxpro Advisory LLP’s entire liability, and your exclusive remedy, in law, in equity, or otherwise, with respect to the website content and courses, newsletters and/or for any breach of this agreement is solely limited to the amount you paid, less shipping, payment gateway and handling fees, for courses/newsletters purchased via the website.

9.2 Fintaxpro Advisory LLP will not be liable for any direct, indirect, incidental, special or consequential damages in connection with this agreement or the courses, newsletters in any manner, including liabilities resulting from (1) the use or the inability to use the website content or courses; (2) the cost of procuring substitute courses or content; (3) any lost profits you allege.

10. INDEMNIFICATION

10.1 You will release, indemnify, defend and hold harmless Fintaxpro Advisory LLP, and any of its contractors, agents, employees, officers, directors, shareholders, affiliates and assigns from all liabilities, claims, damages, costs and expenses, including reasonable attorneys’ fees and expenses, of third parties relating to or arising out of:

  1. this Agreement or the breach of your warranties, representations and obligations under this Agreement;
  2. the Website content or your use of the Website content;
  3. the Courses, Newsletters or your use of the Courses, Newsletters;
  4. any intellectual property or other proprietary right of any person or entity;
  5. your violation of any provision of this Agreement; or
  6. any information or data you supplied to Fintaxpro Advisory LLP.

10.2 Fintaxpro Advisory LLP will have the right to participate in any defense by you of a third-party claim related to your use of any of the Website content or Courses, with counsel of Fintaxpro Advisory LLP’s choice at its expense. You will have sole responsibility to defend Fintaxpro Advisory LLP against any claim, but you must receive Fintaxpro Advisory LLP’s prior written consent regarding any related settlement.

11. PRIVACY AND DATA PROTECTION

11.1 Fintaxpro Advisory LLP believes strongly in protecting user privacy and providing you with notice of FinTaxPro’s use of data. Please refer to Fintaxpro Advisory LLP’s Privacy Policy, incorporated by reference herein, that is posted on the Website at https://fintaxpro.in/privacy-policy-2/.

12. PRICING AND PROMOTIONS

12.1 Price Changes: Course prices are subject to change at the discretion of Fintaxpro Advisory LLP.

12.2 No Refund for Price Reduction: In case of a price reduction, existing students cannot ask for a refund of the difference amount.

12.3 No Extra Charge for Price Increase: In case of a price increase of a specific course, FinTaxPro shall not ask for the extra difference from students who have already purchased the course.

12.4 Promotional Offers: Any promotional offer/discount is subject to the conditions and eligibility of the offer. Existing students, if not eligible, cannot ask for the discount/refund/offer retrospectively.

13. REFUND POLICY

13.1 Genrally we don’t offer refunds. For details regarding refunds, please refer to our refund policy available at https://fintaxpro.in/refund/.

14. MODIFICATION OF TERMS

14.1 Please note that these Terms may change from time to time. We reserve the right to modify or amend these Terms. The “Last Updated” date at the top of the Terms indicates when the most recent modifications were made.

14.2 By continuing to access and use the Platform after any modification, you will have confirmed your acceptance to any such modifications. Your continued use will be adequate proof that you have expressly agreed to the terms of these Terms which shall apply from the date of your first use of the Platform.

15. GENERAL PROVISIONS

15.1 Force Majeure: Fintaxpro Advisory LLP will not be deemed in default hereunder or held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labour strike, lockout, or boycott.

15.2 Cessation of Operation: Fintaxpro Advisory LLP may at any time, in its sole discretion and without advance notice to you, cease operation of the Website and distribution of the Courses, Newsletters.

15.3 Entire Agreement: This Agreement comprises the entire agreement between you and Fintaxpro Advisory LLP and supersedes any prior agreements pertaining to the subject matter contained herein.

15.4 Effect of Waiver: The failure of Fintaxpro Advisory LLP to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision.

15.5 Governing Law and Jurisdiction: This Agreement will be governed by the Information Technology Act, 2000, Indian Contract Act, 1872, Trademark Act 1999, Copyright Act 1957, and the laws of the State of Delhi without regard to its conflict of law principles. Neither you nor Fintaxpro Advisory LLP will commence or prosecute any suit, proceeding or claim to enforce the provisions of this Agreement, other than in courts located in the State of Delhi.

15.6 Statute of Limitation: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Website or Courses, Newsletters or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.

15.7 Waiver of Class Action Rights: By entering into this agreement, you hereby irrevocably waive any right you may have to join claims with those of others in the form of a class action or similar procedural device. Any claims arising out of, relating to, or in connection with this agreement must be asserted individually.

15.8 Termination: Fintaxpro Advisory LLP reserves the right to terminate your access to the Website if it reasonably believes, in its sole discretion, that you have breached any of the terms and conditions of this Agreement.

15.9 Assignment: You may not assign your rights and obligations under this agreement to anyone. Fintaxpro Advisory LLP may assign its rights and obligations under this agreement in its sole discretion and without advance notice to you.

17.1 By using this Website or ordering Courses, Newsletters from this Website, you acknowledge that you have read and agree to be bound by this Agreement and all terms and conditions on this Website.
